1. The service
Sūcī ("we", "us") is a digital catalogue platform for retail shops, provided by [Your Registered Business/Entity Name]. We give your shop a public product catalogue page, a QR code, and WhatsApp-based customer ordering. These terms govern the shop owner account created for your business, whether through self-registration or platform-admin onboarding ("you", "your shop").
2. Your account & registration
- Your shop account may be created either by self-registering through our public registration page, or by a platform administrator onboarding you directly.
- Self-registration requires verifying your WhatsApp number by entering a one-time code we send to it. By requesting that code, you consent to receiving it — and other operational messages about your account (billing notices, service updates) — over WhatsApp.
- You are responsible for keeping your login credentials confidential and for all activity under your account.
- The information you provide about your shop and products must be accurate and must not infringe anyone else's rights.
- You are solely responsible for the products you list, their pricing, and fulfilling any orders customers place with you via WhatsApp — we are a catalogue and discovery tool, not a party to the sale itself.
- At self-registration, you choose a product limit for your shop (in blocks of 50 products), which determines your monthly base fee (see Section 4). You can change this later from your dashboard, but any change only takes effect from your next billing cycle, not the one already in progress.
3. Free trial
- A self-registered shop gets a free trial of exactly 30 days from the moment registration is completed, with no charges during that period.
- Your shop automatically becomes active and billing automatically begins the moment your trial ends — no further action or confirmation from you or from us is required for this to happen. We will remind you a few days beforehand through the in-app Messages inbox.
- A platform-admin-onboarded shop's trial length may differ and is communicated at onboarding; that shop is switched to active by a platform administrator rather than automatically.
4. Billing & payment
Once your shop is active, billing works as follows:
- You are billed on a recurring monthly cycle starting from the date your shop was activated — not the calendar month.
- Each bill combines a monthly base fee — determined by your chosen product limit, at the per-50-product rate published on our pricing page — with a usage charge based on that period's catalogue views and a flat fee per WhatsApp click-through, at rates published on our pricing page.
- You will be notified in-app when a bill is ready, with the amount and due date.
- Bills are payable online through Razorpay, using UPI, cards, or netbanking. If you choose to enable UPI Autopay (optional, off by default), you authorize us to auto-debit future bills up to the mandate ceiling you approve; you can cancel this authorization at any time from your dashboard or directly with your bank/UPI app, and doing so simply reverts you to paying each bill manually.
- Only our platform's automated payment verification and platform administrators can mark an invoice as paid — no other party, including you, can alter your invoice status directly.
- You have 7 days from the bill date to pay. If unpaid after that, admin access to your shop is blocked (your public catalogue stays visible to customers).
- If still unpaid 3 days after that, your shop is fully suspended — your public catalogue also becomes unavailable — until outstanding invoices are paid.
- Prices are subject to change; we'll notify current shop owners before a change takes effect.
5. Our rights as platform operator
We reserve the right to:
- Suspend or terminate any shop account for non-payment, or for content/conduct that violates these terms or applicable law.
- Grant or remove a "Verified Store" badge at our discretion.
- Set or adjust a maximum product limit on any shop account.
- Decline or reverse a self-registration (e.g. if verification or payment details appear fraudulent).
- Permanently delete a shop and all its associated data, at our discretion or at your request — this action cannot be undone.
6. Acceptable use
You agree not to use the platform to list:
- Illegal products or services, or counterfeit goods.
- Content that is fraudulent, defamatory, obscene, or infringes someone else's intellectual property.
- Anything that attempts to circumvent our billing, security, or rate limits.
7. Intellectual property
You retain ownership of your shop's content (name, description, images, products). By uploading content, you grant us a license to display it as part of operating your public catalogue. The Sūcī name, design, and underlying software remain our property.
8. Disclaimer & limitation of liability
The platform is provided "as is." We do our best to keep it available and accurate, but we do not guarantee uninterrupted service, and we are not liable for orders, disputes, or transactions between you and your customers conducted over WhatsApp or any other channel outside the platform, nor for payment processing failures or delays caused by Razorpay or your bank/UPI provider. To the maximum extent permitted by law, our liability to you is limited to the fees you've paid us in the 3 months preceding a claim.
9. Termination
You may request account closure at any time by contacting us. We may terminate or suspend your account as described in Sections 4 and 5. On termination, your data is deleted per our Privacy Policy.
10. Governing law
These terms are governed by the laws of India. Disputes are subject to the exclusive jurisdiction of the courts of [Your City], India.
11. Changes to these terms
We may update these terms from time to time. Material changes will be announced to shop owners through the in-app Messages inbox.
